Acceptance of Terms
By accessing or using the Filesage application and website (collectively, the "Service"), provided by Arnotiq Labs LLC ("we", "our", "us"), you agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, you may not access or use usage of the Service. These Terms apply to all visitors, users, and others who access or use the Service.
Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
Access and Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to download and install a copy of the application on a mobile device or computer that you own or control and to run such copy of the application solely for your own personal non-commercial purposes or internal business purposes.
You differ solely responsible for all data, information, feedback, suggestions, text, content and other materials that you upload, post, deliver, provide or otherwise transmit or store (hereafter "post(ing)") in connection with or relating to the Service ("Your Content").
Accounts and Registration
You may need to register for an account to access some or all of our Services. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.
Local-First Nature
Filesage is a local-first application. This means your files, indices, and metadata are primarily stored on your local device.
- Data Responsibility: We are not responsible for backing up your local data. You are solely responsible for maintaining backups of your files.
- Data Loss: We are not liable for any loss of data caused by device failure, operating system issues, or user error.
Intellectual Property
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Arnotiq Labs LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
User Content
You retain all rights to any content you submit, post, or display on or through the Service. We claim no ownership rights over your User Content.
Prohibited Conduct
You agree not to use the Service to:
- Violate any applicable national or international law or regulation.
- Infringe upon the rights of others, including intellectual property rights.
- Attempt to reverse engineer, decompile, or disassemble any part of the Service.
- Transmit viruses, malware, or other malicious code.
Payment and Subscription
Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle").
All payments are processed by third-party payment processors. We do not store or collect your payment card details.
Cancellation and Refund
You may cancel your Subscription renewal either through your account settings page or by contacting us. You will not receive a refund for the fees you already paid for your current Subscription period, and you will be able to access the Service until the end of your current Subscription period.
Beta Features
We may release features or modules that are labeled as "Beta" or "Experimental."
Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis. Arnotiq Labs LLC makes no representations or warranties of any kind, express or implied, as to the operation of their services, or the information, content or materials included therein.
Limitation of Liability
In no event shall Arnotiq Labs LLC, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
Indemnification
You agree to defend, indemnify and hold harmless Arnotiq Labs LLC and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.
Governing Law
These Terms shall be governed and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions.
Dispute Resolution
Any dispute relating in any way to your visit to or use of the Service shall be submitted to confidential arbitration in Delaware, except that, to the extent you have in any manner violated or threatened to violate our intellectual property rights, we may seek injunctive or other appropriate relief in any state or federal court.
Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
